Terms of Use

These Terms of Use (“Terms”) govern access to and use of UNDERLAY, including our website, Chrome extension, themes, brand templates, and paid plans (together, the “Service”).
By installing the extension, creating an account, or buying a plan, you agree to these Terms.
If you do not agree, do not use the Service.
1. Who we are

2. The Service
UNDERLAY lets you change how supported websites look on your own browser (backgrounds, colours, fonts, glass, and similar controls).
Supported sites may include ChatGPT, Claude, Gemini, YouTube, and others we add later. We do not own those sites. Your use of them is still subject to their terms.
UNDERLAY does not provide the underlying AI or video service. It only changes appearance in your browser.
3. Plans
We currently offer:
UNDERLAY — one platform, full editor
UNDERLAY Pro — three AI platforms + YouTube, one shared look
UNDERLAY Max — all current and future platforms we add, looks saved per site, and access to brand templates
Features may change. If we remove a material feature from a paid plan, we will say so.
4. Accounts and access
You must provide accurate information. You are responsible for your account and for anyone who uses the Service through it.
You must be at least 18, or have permission from a parent or guardian, to buy a plan.
We may suspend or close an account if these Terms are broken.
5. Licence
We grant you a limited, personal, non-exclusive, non-transferable licence to install and use the extension for your own use, according to your plan.
You may not:
copy, resell, or sublicense the Service
reverse engineer the extension except where the law allows
bypass plan limits (for example using Max templates on a free or Pro plan)
use the Service to break another site’s rules or the law
The extension, name, design, and our gallery assets belong to us or our licensors.
6. Your content
You may upload images, GIFs, and similar files as backgrounds.
You keep the rights you already have in that content. You grant us a licence to store and display it only so the Service can work for you (for example syncing a background to your browser).
You must only upload content you have the right to use. Do not upload illegal content, malware, or material that infringes someone else’s rights.
We may remove uploads that break these Terms.
Uploaded files are stored to provide the feature. We are not a backup service. Keep your own copies.
7. Brand templates (Max)
Some templates are published by third parties (“Brands”).
Max users may apply a brand template in the gallery. That does not transfer the brand’s trademarks or artwork to you. You may use the template inside UNDERLAY on supported sites. You may not extract brand assets and reuse them elsewhere without the brand’s permission.
Brands pay us to offer a template. That is advertising / licensed design inside the product, not an endorsement of the brand by you, or of you by the brand.
We can remove a template at any time.
Separate terms apply if you are a company that wants to publish a template.
8. Other websites
UNDERLAY injects styles into third-party sites. Those sites can change at any time. We do not guarantee that every control will work on every page, after every site update, or in every browser.
We are not affiliated with OpenAI, Anthropic, Google, YouTube, or other platforms we theme.
9. Payments
Paid plans are billed in advance through our payment provider (for example Stripe).
Prices are shown at checkout. Taxes may be added where required.
Unless the law says otherwise, or we state a refund window, fees are non-refundable once the period has started.
Subscriptions renew automatically until you cancel. Cancel before the renewal date to avoid the next charge. You keep access until the end of the period you already paid for.
10. Consumer rights (EU / UK)
If you buy as a consumer in the EU/EEA or UK, you may have a legal right to withdraw from a digital subscription.
If the Service starts immediately with your agreement that you lose the withdrawal right, we will say so at checkout.
Nothing in these Terms limits rights you cannot waive under mandatory consumer law.
11. Acceptable use
Do not use UNDERLAY to:
attack, scrape, or disrupt the Service or third-party sites
impersonate us or a brand
spread malware via uploads
violate privacy, intellectual property, or criminal law
12. Availability
We aim for the Service to work, but we do not promise uninterrupted uptime, or that a theme will survive every Chrome or YouTube update.
We may change, pause, or stop parts of the Service. We may need you to update the extension.
13. Disclaimer
The Service is provided “as is”. To the fullest extent allowed by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Liability
To the fullest extent allowed by law, we are not liable for:
loss of profit, data, goodwill, or indirect loss
third-party site changes that break a theme
content you or a brand upload
Our total liability for a claim is limited to the amount you paid us for the Service in the 12 months before the claim.
This does not limit liability for death, personal injury, fraud, or anything else that cannot be limited by law.
15. Privacy
Our Privacy Policy explains what we collect and why. It is part of these Terms.
16. Changes
We may update these Terms. The new version applies from the date we publish it. Continued use after that date means you accept the new Terms. If a change is material, we will try to give notice.
17. Governing law
These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules.
If you are a consumer in the EU, you may also have the right to use courts in your country of residence.
The courts of [City, Denmark] have jurisdiction, except where mandatory law says otherwise.
